1. Introduction & Acceptance

Welcome to Islington Marketplace ("Platform"), operated by TBD UK Marketplace Ltd trading as Islington Marketplace (Company Number 09297136), a company registered in England and Wales with its registered office at 124 City Road, London, England, EC1V 2NX.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and TBD UK Marketplace Ltd trading as Islington Marketplace ("we", "us", "our"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Platform.

2. Definitions

• "Platform": The Islington Marketplace website at islingtonmarketplace.co.uk and all related services
• "Provider": A user who creates and publishes listings (events, jobs, deals) on the Platform
• "Consumer": A user who browses, purchases tickets/deals, or applies for jobs via the Platform
• "Listing": An event, job posting, or deal published on the Platform
• "Portal Sales": Transactions processed directly through the Platform using Stripe Connect
• "External Links": Third-party websites linked from listings for external transactions
• "Listing Fee": The fee charged to Providers for listing visibility: £9.95 (28 days), £9.95/month (Monthly), or £95/year (Yearly)

3. Eligibility

To use the Platform, you must:

• Be at least 14 years of age (users aged 14-17 must have parental/guardian consent)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under UK law
• Provide accurate and truthful information during registration
• Maintain the security and confidentiality of your account credentials

By creating an account, you represent and warrant that you meet all eligibility requirements.

4. Account Registration & Security

4.1 Account Creation

• You must register an account to access certain Platform features
• Choose account type: Consumer or Provider
• Provide accurate, current, and complete information
• Verify your email address to activate your account
• One account per user (multiple accounts prohibited)

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of unauthorized access
• Ensuring you log out after each session on shared devices

4.3 Account Termination

You may delete your account at any time through your profile settings. We may suspend or terminate your account for violations of these Terms (see Section 16).

5. Provider Responsibilities

5.1 Listing Requirements

As a Provider, you must ensure that all listings:

• Contain accurate, truthful, and non-misleading information
• Include clear pricing (no hidden fees)
• Comply with all applicable UK laws and regulations
• Do not infringe third-party intellectual property rights
• Are updated promptly if details change (dates, prices, availability)

5.2 Prohibited Content

Providers must NOT create listings for:

• Adult content, services, or materials (18+ restricted content)
• Weapons, firearms, ammunition, or explosive devices
• Cryptocurrency, NFTs, or blockchain-related financial products
• Illegal goods, services, or activities
• Counterfeit or stolen items
• Pyramid schemes, multi-level marketing, or get-rich-quick schemes
• Discriminatory content based on protected characteristics
• Fraudulent, deceptive, or misleading offers

5.3 Legal Compliance

Providers are solely responsible for ensuring their listings comply with all applicable laws, including but not limited to consumer protection, licensing, health & safety, and employment laws. We are not responsible for verifying compliance.

6. Listing Fees & Payment Terms

6.1 Listing Fee Structure

Choose the payment plan that works best for you:

• 28 Days - £9.95: One-time payment, listing visible for 28 days
• Monthly - £9.95/month: Auto-renewing subscription, cancel anytime
• Yearly - £95/year: Auto-renewing subscription, best value (~21% savings)
• Promotional Rate: £9.95 (50% discount from £19.95) until 1 March 2026
• All plans apply equally to Events, Jobs, and Deals
• Payment required to publish listings (draft creation is free)
• Fees are non-refundable once a listing is published

6.2 Listing Visibility Period

Visibility depends on your chosen plan:

• 28 Days plan: Listing visible for exactly 28 days from publication, then expires
• Monthly plan: Listing stays visible while subscription is active, auto-renews monthly
• Yearly plan: Listing stays visible while subscription is active, auto-renews annually
• Unpublishing a listing does NOT pause billing or provide refunds
• Subscriptions can be cancelled anytime; listing stays active until end of billing period
• Expired 28-day listings can be renewed with any payment plan

6.3 0% Commission Model

We operate a TRUE 0% commission model:

• Islington Marketplace does NOT take any percentage of your sales revenue
• You keep 100% of ticket sales, deal purchases, and other transactions
• Our only revenue is the listing fees (£9.95/28 days, £9.95/month, or £95/year)
• Stripe Processing Fees: Stripe charges standard payment processing fees (~1.5-2.9% + 20p) directly to Providers. These fees go to Stripe, not Islington Marketplace

6.4 Refund & Cancellation Policy

• 28-Day Listings: Non-refundable. Once published, the countdown begins and cannot be refunded or paused
• Monthly/Yearly Subscriptions: Non-refundable. You may cancel anytime, and your listing remains active until the end of the current billing period. No partial refunds for unused time
• Customer Purchases: Refund policies for tickets, deals, and other products are determined by individual Providers. Islington Marketplace is not responsible for issuing refunds for third-party transactions
• Exceptional Circumstances: Refunds may be considered at our sole discretion for technical errors or platform failures

7. Portal Sales vs External Links

7.1 Portal Sales (Stripe Connect)

Providers using "Portal Sales" agree to:

• Connect a valid Stripe Connect account
• Comply with Stripe's Terms of Service and Acceptable Use Policy
• Complete identity verification and business onboarding
• Payments go directly to the Provider's Stripe account (Islington Marketplace never holds funds)
• Providers are responsible for all customer refunds, disputes, and chargebacks

7.2 External Links

Providers using external links acknowledge that:

• Islington Marketplace is NOT involved in external transactions
• We do not process, monitor, or guarantee external purchases
• Providers are solely responsible for external booking systems
• Consumers leave the Platform to complete transactions
• We are not liable for disputes arising from external transactions

7.3 Contact Organiser/Business Option

Listings with "Contact Organiser" or "Contact Business" buttons facilitate direct email communication. Islington Marketplace is not a party to these communications or any resulting agreements.

8. Intellectual Property Rights

8.1 User Content Ownership

You retain all ownership rights to content you upload (listings, descriptions, images, CVs, reviews). However, by posting content on the Platform, you grant Islington Marketplace a:

• Non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your content on the Platform
• This license is necessary to operate the marketplace (e.g., displaying your listings to consumers)
• License terminates when you delete content (except for cached/backup copies)

8.2 Platform Content

The Platform itself, including its design, code, logos, and trademarks, is owned by TBD UK Marketplace Ltd trading as Islington Marketplace and protected by UK and international copyright laws. You may not copy, modify, or distribute our Platform content without written permission.

8.3 Copyright Infringement (DMCA)

If you believe your copyright has been infringed, contact us at [email protected] with:

• Description of the copyrighted work
• URL of the infringing content
• Your contact information
• Statement of good faith belief

9. Consumer Responsibilities

As a Consumer, you agree to:

• Provide accurate information when purchasing tickets or applying for jobs
• Pay for all purchases made through your account
• Review event/deal details carefully before purchasing
• Contact Providers directly for refunds or booking changes
• Comply with event age restrictions and entry requirements
• Not resell tickets purchased through the Platform for profit (unless explicitly permitted by the event organizer)

10. Prohibited Activities

All users are prohibited from:

• Fraud & Scams: Creating fake listings, payment fraud, identity theft
• Misleading Content: False advertising, deceptive pricing, bait-and-switch tactics
• Spam & Harassment: Unsolicited messages, abusive behavior, stalking
• Platform Manipulation: Fake reviews, vote manipulation, circumventing fees
• Illegal Activities: Money laundering, drug sales, illegal services
• Security Breaches: Hacking, phishing, malware distribution, unauthorized access
• Scraping & Bots: Automated data extraction, bot accounts (without permission)
• Impersonation: Pretending to be another user, business, or Islington Marketplace staff

11. Content Moderation & Enforcement

11.1 Our Rights

We reserve the right to:

• Review, approve, or reject any listing before publication
• Remove content that violates these Terms or applicable laws
• Suspend or terminate accounts for policy violations
• Modify or discontinue Platform features at any time
• Investigate suspected fraud or illegal activity

11.2 Reporting Violations

Users can report inappropriate content or behavior by emailing [email protected]. We will investigate reports within 24-48 hours.

11.3 Appeals

If your content is removed or account suspended, you may appeal by contacting us with a detailed explanation. Final decisions rest with Islington Marketplace.

12. Limitation of Liability & Disclaimers

12.1 Platform "As Is"

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Merchantability, fitness for a particular purpose, or non-infringement
• Uninterrupted, error-free, or secure operation
• Accuracy, reliability, or completeness of content

12.2 Third-Party Transactions

IMPORTANT: Islington Marketplace is a marketplace platform connecting Providers and Consumers. We are NOT responsible for:

• The quality, safety, or legality of listings
• The accuracy of Provider descriptions or pricing
• The performance of events or delivery of deals
• Disputes between Providers and Consumers
• Refunds, cancellations, or no-shows
• External websites linked from listings

12.3 Liability Cap

To the maximum extent permitted by law, Islington Marketplace's total liability for any claims arising from your use of the Platform is limited to the amount of listing fees you paid in the 12 months prior to the claim.

We are NOT liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

12.4 Consumer Rights

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TBD UK Marketplace Ltd trading as Islington Marketplace, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your listings or content
• Your transactions with other users
• Your infringement of third-party rights

14. Dispute Resolution & Governing Law

14.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

14.2 Disputes with Islington Marketplace

Before initiating legal action, please contact us at [email protected] to attempt informal resolution. Include:

• Your account details
• Description of the dispute
• Desired resolution

We aim to resolve complaints within 30 days.

14.3 Disputes Between Users

Disputes between Providers and Consumers (e.g., refunds, no-shows, quality issues) should be resolved directly between the parties. Islington Marketplace may facilitate communication but is not obligated to mediate or resolve third-party disputes.

15. Data Protection & Privacy

We are committed to protecting your personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy explains:

• What data we collect and why
• How we use and share your data
• Your rights (access, rectification, erasure, etc.)
• Data retention periods
• Cookie usage

By using the Platform, you consent to data processing as described in our Privacy Policy.

16. Account Termination

16.1 Termination by User

You may delete your account at any time through your profile settings. Upon deletion:

• Active listings will be removed
• Personal data will be deleted within 4 weeks (per our Privacy Policy)
• Transaction records retained for 7 years (legal requirement)
• No refunds for unused listing time

16.2 Termination by Islington Marketplace

We may suspend or terminate your account immediately without notice if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activity
• Create multiple accounts to circumvent restrictions
• Harm the Platform's reputation or operations
• Fail to pay listing fees

16.3 Effect of Termination

Upon termination:

• You lose access to your account and listings
• Outstanding obligations (e.g., refunds to customers) remain your responsibility
• Sections of these Terms that should survive (e.g., indemnification, liability) remain in effect

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top
• Notify you via email (at least 14 days before changes take effect)
• Display a prominent notice on the Platform

Your continued use of the Platform after changes constitute acceptance of the updated Terms. If you disagree with changes, you must stop using the Platform and delete your account.

18. Miscellaneous Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Islington Marketplace and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

18.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

18.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to any successor or acquirer.

18.5 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, strikes, government actions).
